Terms of Service
These Terms of Service ("Terms") govern your access to and use of the BrainSheets website, products, and services (collectively, the "Service") operated by BrainSheets ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. The Service
BrainSheets provides downloadable documents — including SBAR templates, nurse brain sheets, and related printable resources — designed to help healthcare professionals organize their personal shift notes. The Service includes a customizer ("Builder") and a marketplace of premade sheets ("Shop").
2. Not a Medical Device; No Clinical Advice
BrainSheets is a documentation organization tool. The Service is not a medical device, electronic health record, clinical decision support system, or substitute for professional medical judgment. Our templates do not interpret patient data, do not store patient information, and do not provide diagnosis, treatment recommendations, or medication guidance. You are solely responsible for the clinical accuracy and appropriateness of any information you enter onto our templates and must follow the policies, procedures, and standards of care of your employing organization at all times.
3. Eligibility
You must be at least 18 years old to purchase from BrainSheets. By using the Service, you represent that you meet this requirement and that the information you provide is accurate.
4. Account and Email
You do not need to create an account to purchase. We collect your email address at checkout in order to deliver your download links and customer support. You are responsible for keeping your email secure and for keeping your purchased files in a safe place.
5. License to Use Purchased Templates
When you purchase a template from BrainSheets, we grant you a limited, non-exclusive, non-transferable, revocable license to use the template for your personal, individual professional use. This license includes the right to:
- Print unlimited copies for your own clinical shifts;
- Edit the Word file to suit your personal workflow;
- Store your files for as long as you wish.
This license does not include the right to:
- Resell, redistribute, sublicense, or share the template files with other individuals or organizations;
- Post the templates on the public internet, in shared drives accessible to non-purchasers, or on any social platform in a downloadable form;
- Use the templates to train any machine learning model or AI system;
- Use BrainSheets branding, trademarks, or design system in your own derivative products.

6. Intellectual Property
The Service and its original content (including all templates, designs, code, copy, and branding) are the exclusive property of BrainSheets and its licensors and are protected by copyright, trademark, and other applicable laws. You may not copy, modify, or create derivative works of the Service except as expressly permitted by these Terms.
7. Payments and Refunds
All payments are processed by our payment partner (Stripe). Prices are listed in U.S. dollars. Because all of our products are instantly delivered digital files, all sales are final and non-refundable, except as required by law or as a matter of customer-service discretion. If you encounter a technical issue with a file you've purchased (cannot open, file is missing pages, etc.), contact us within seven (7) days and we will repair, replace, or refund the file at our option.
8. Acceptable Use
You agree not to use the Service to:
- Violate any law or regulation;
- Infringe the rights of any third party;
- Upload or transmit malicious code, viruses, or harmful content;
- Attempt to access the Service's systems, source code, or other users' data without authorization;
- Use automated tools (bots, scrapers, crawlers) to access the Service except for publicly available, robots-friendly endpoints;
- Resell, redistribute, or commercialize content from the Service in violation of these Terms.
9. AI-Assisted Features
Our Builder includes optional AI assistance to suggest a starting set of sections based on your input. AI suggestions are generated by language models and may contain inaccuracies, omissions, or content that is not appropriate for your specific clinical context. Always review AI-suggested templates for clinical appropriateness and your facility's policies before use. Do not enter protected health information (PHI), patient names, or identifying details into the AI assist field.
10. User-Submitted Feedback
If you submit feedback, suggestions, or ideas to us, you grant BrainSheets a worldwide, royalty-free, perpetual license to use, modify, and incorporate that feedback into the Service without any obligation to you.
11. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, BrainSheets disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or available at any particular time.
12. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall BrainSheets, its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service. Our aggregate liability for any claim arising out of or relating to the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) twenty U.S. dollars ($20).
13. Indemnification
You agree to defend, indemnify, and hold harmless BrainSheets from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of another.
14. Termination
We may suspend or terminate your access to the Service at any time, for any reason, with or without notice. Provisions that by their nature should survive termination (including ownership, disclaimers, indemnity, and limitations of liability) shall survive.
15. Governing Law
These Terms are governed by the laws of the State of [STATE], United States, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in [COUNTY, STATE].
16. Changes
We may revise these Terms at any time by posting an updated version on this page. The "Last updated" date will reflect the latest revision. By continuing to use the Service after revisions take effect, you agree to be bound by the updated Terms.
